1. Acceptance of Terms

By accessing or using the Beneficium platform ("Service"), operated by S13 Software Solutions LLP ("we", "us", "our"), you agree to be bound by these Terms of Service and Acceptable Use Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

2. Description of Service

Beneficium is a donation management and community engagement platform that enables organizations to manage donations, events, memberships, and community outreach. The Service includes web-based dashboards, payment processing integrations, and reporting tools.

3. Acceptable Use Policy

You agree NOT to use the Service to:

  • Harass, threaten, intimidate, or abuse any person, including other users, organization members, or platform administrators.
  • Engage in fraudulent activity, including misrepresenting your identity, organization affiliation, or the purpose of funds collected.
  • Collect donations for illegal purposes or in violation of applicable laws and regulations.
  • Upload or distribute malicious content, including viruses, malware, or any content designed to disrupt the Service.
  • Attempt unauthorized access to other users' accounts, organization dashboards, or any part of the Service infrastructure.
  • Use the Service for money laundering, terrorist financing, or any activity prohibited by Canadian law.
  • Misrepresent your relationship with any organization or use the platform to impersonate others.
  • Violate the privacy of others by sharing personal information without consent.

4. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Organization Representatives

If you access the Service on behalf of an organization, you acknowledge that:

  • You are authorized to act on behalf of that organization.
  • Your actions within the organization dashboard are attributable to both you personally and the organization you represent.
  • You are responsible for ensuring that all members of your organization comply with these terms.

6. Intellectual Property & Proprietary Information

The Service, including but not limited to its source code, object code, user interface designs, screen layouts, navigation flows, visual elements, page structures, interaction patterns, APIs, algorithms, data models, documentation, and all related materials, is the exclusive property of S13 Software Solutions Inc. and is protected by Canadian and international copyright, trade secret, and intellectual property laws.

You agree NOT to:

  • Reverse engineer, decompile, or disassemble any part of the Service, including its software, APIs, or underlying systems, except to the limited extent expressly permitted by applicable law notwithstanding this restriction.
  • Copy, reproduce, or replicate the user interface designs, screen layouts, navigation flows, visual elements, page structures, or interaction patterns of the Service, in whole or in part, for any purpose.
  • Scrape, crawl, or extract data, content, or structural information from the Service using automated or manual means for the purpose of building a competing product or service.
  • Create derivative works based on the Service's design, functionality, user experience, or any proprietary elements.
  • Remove, alter, or obscure any copyright notices, trademarks, or other proprietary markings from the Service.
  • Disclose or share any proprietary information, technical details, or internal workings of the Service obtained through your use, including dashboard configurations, reporting structures, and workflow designs, to any third party.
  • Use knowledge gained from the Service to develop, improve, or assist in developing any product or service that competes with the Service.
  • Photograph, screenshot, or record the Service's interface for the purpose of replicating its design, features, or functionality in another product.

All trademarks, service marks, trade names, and logos displayed on the Service are the property of S13 Software Solutions Inc. or their respective owners. Nothing in these Terms grants you any right to use any trademark, service mark, trade name, or logo without prior written consent.

This Section shall survive the termination of your account and these Terms of Service.

7. Right to Terminate

We reserve the right to suspend or terminate your account, without prior notice, if we determine in our sole discretion that you have violated these Terms of Service or the Acceptable Use Policy. This includes, but is not limited to:

  • Threatening or harassing behavior toward any user or administrator.
  • Fraudulent use of the donation system.
  • Repeated violations of community guidelines.
  • Any activity that poses a risk to the safety or security of the platform or its users.
  • Any attempt to reverse engineer, copy, or replicate the Service's proprietary elements.

8. Data Usage & Privacy

We collect and process personal data as necessary to provide the Service. This includes your name, email address, contact information, donation history, and organization membership data. We do not sell your personal data to third parties. For detailed information about how we handle your data, please refer to our Privacy Policy.

9. Payment Processing

Donations processed through the Service are handled by third-party payment processors (including Square). We are not responsible for the payment processor's terms, fees, or handling of your payment information. All donation transactions are subject to the payment processor's terms of service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless S13 Software Solutions Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service or your violation of these terms.

12. Modifications to Terms

We may update these Terms of Service from time to time. When we do, we will update the "Last Updated" date and notify you through the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated terms. If we make material changes, we will require you to re-accept the updated terms.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Manitoba, Canada, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Manitoba, Canada.
